Preamble

These General Terms and Conditions of Sale (the “Terms”) govern, without restriction or reservation, all sales of wine concluded on the website https://www.boriedemaurel.fr (the “Site”) by BORIE DE MAUREL, a simplified joint-stock company (société par actions simplifiée) (the “Seller” or “Borie de Maurel”), with any natural person of legal age acting as a consumer, for purposes outside any commercial, industrial, craft or professional activity (the “Buyer” or the “Customer”).

Any order placed on the Site implies the Buyer's full and unreserved acceptance of these Terms, which the Buyer acknowledges having read before ordering, by ticking the box provided for that purpose.

The Seller may amend these Terms at any time. The applicable Terms are those in force on the date the order is confirmed.

Article 1: Purpose and scope

1.1. These Terms define the rights and obligations of the parties in connection with the online sale of wines (bottles and magnums) marketed by the Seller on the Site.

1.2. They apply to all sales concluded on the Site with consumers, that is, Buyers who are natural persons acting for purposes outside any commercial, industrial, craft or professional activity. The Site is intended exclusively for private customers; it does not offer sales to professional buyers.

1.3. These Terms prevail over any other document, unless the Seller has expressly agreed otherwise in advance.

1.4. The fact that the Seller does not, at any given time, invoke any of these clauses shall not be interpreted as a waiver of its right to invoke it later.

Article 3: Products

3.1. Description. The wines offered for sale on the Site are described and presented as accurately as possible (appellation, vintage, grape varieties, volume, alcohol content, packaging). The photographs, illustrations and descriptions accompanying the products are for guidance only and are not contractual; their on-screen rendering may show slight variations, particularly in colour.

3.2. Appellations. The wines sold fall under the AOP Minervois and AOP La Livinière (formerly Minervois-La Livinière) appellations, and the Vin de France category.

3.3. Vintages and availability. Product offers are valid while they are visible on the Site and while stocks last. As wines are agricultural products subject to the vagaries of production, if the vintage ordered is unavailable, the Seller reserves the right:

  • to offer the Buyer, with the Buyer's express agreement, an equivalent vintage or wine;
  • or, failing such agreement, to refund in full the amount paid for the unavailable product within a maximum of fourteen (14) days.

3.4. A living product. The Buyer expressly acknowledges that wine is a living product whose development depends on its storage conditions. The Seller cannot be held liable for the development of the wines after delivery, nor for any subjective differences in taste.

3.5. Packaging and order quantity. Each order must cover a total number of bottles that is a multiple of six (6), all cuvées and formats combined (6, 12, 18 bottles, etc.). The Buyer is free to make up the case with the cuvées of their choice.

Article 4: Prices

4.1. Display. Product prices are shown in euros (€), including all taxes, excluding delivery charges. The price excluding tax and the amount of VAT applicable are always shown on the invoice.

4.2. Applicable VAT. Wines are subject to the standard VAT rate in force in France, i.e. 20% at the date of these Terms. For distance sales to consumers established in another EU Member State, French VAT applies as long as the Seller's annual intra-EU distance sales do not exceed the single threshold of €10,000 provided for in Article 259 D of the French General Tax Code; above this threshold, the VAT of the country of destination applies and is declared by the Seller through the One Stop Shop (OSS).

4.3. Additional charges. Delivery charges depend on the destination and the order amount. They are clearly shown before the order is finally confirmed.

4.4. Price changes. The Seller reserves the right to change its prices at any time. However, products will be invoiced at the prices in force when the order is confirmed.

4.5. Excise duties. The wines sold circulate duty-paid. For deliveries to another EU Member State, any excise duties due in the country of destination are paid by the Seller, in accordance with Directive (EU) 2020/262, and are included in the displayed price.

Article 5: Orders

5.1. Ordering process. Orders are placed exclusively online on the Site. The Buyer selects the products they wish to buy, adds them to their basket, then follows the successive steps:

  1. Checking the basket contents, expressly accepting these Terms and declaring that they are of legal age by ticking a box, without which payment cannot be accessed;
  2. Logging in or creating a customer account;
  3. Choosing the delivery method;
  4. Choosing the payment method;
  5. Detailed order summary (products, prices, delivery charges, total including taxes);
  6. Final confirmation of the order by a second click (“Pay now”).

5.2. Double click and formation of the contract. In accordance with Article 1127-2 of the French Civil Code, the order is only finally confirmed once the Buyer has had the opportunity to check the details and total price of the order and to correct any errors before confirming it to express final acceptance (the “double click” procedure). The contract of sale is formed upon this confirmation.

5.3. Confirmation. The Seller sends the Buyer, as soon as possible and at the latest at the time of delivery, an acknowledgement of the order by email summarising the essential elements of the contract, together with a link to these Terms.

5.4. Refusal of orders. The Seller reserves the right to refuse or cancel any order from a Buyer:

  • with whom there is a dispute over payment of a previous order;
  • where there is reasonable suspicion of fraud;
  • where the order is clearly abnormal (unreasonable quantities, suspected unauthorised resale, etc.);
  • where the regulations applicable to the sale of alcohol are not complied with.

5.5. Archiving. Orders of more than €120 including taxes are archived by the Seller for ten (10) years, in accordance with Article L213-1 of the French Consumer Code, and may be provided to the Buyer on request.

Article 6: Payment

6.1. Accepted payment methods. Orders are paid online through the secure payment solution Shopify Payments, by bank card (CB, Visa, Mastercard) or, depending on the device used, by Apple Pay or Shop Pay. Payment by PayPal is also offered. The available payment methods are shown on the payment page before the order is confirmed.

6.2. Transaction security. The Site uses a secure payment system based on the SSL/TLS protocol and, where applicable, 3D-Secure strong authentication in accordance with Directive (EU) 2015/2366 (PSD2). The Buyer's bank details never pass unencrypted through the Site and are not stored by the Seller.

6.3. Time of debit. The Buyer's account is debited when the order is confirmed. The order is only considered effective once the payment has been accepted by the bank.

6.4. Payment failure. If payment authorisation is refused, the order will be automatically cancelled and the Buyer informed by email.

6.5. Retention of title. In accordance with Article 2367 of the French Civil Code, the products ordered remain the property of the Seller until the price has been paid in full. The transfer of risk, however, takes place in accordance with Article 7.6 below.

Article 7: Delivery

7.1. Delivery areas. The Seller delivers to the home in mainland France and Monaco, as well as to Germany, Austria, Belgium, Spain (excluding the Canary Islands, Ceuta and Melilla), Italy, Luxembourg, the Netherlands and Portugal. Territories outside the EU excise territory (in particular Heligoland, Büsingen, Livigno and Campione d'Italia) are not served. Delivery to any other destination requires a prior request and the Seller's express agreement. Corsica may be subject to special conditions (charges and lead times).

7.2. Carriers. Orders are shipped by the carriers Geodis or Viticolis. The packaging used (reinforced cartons with individual wedging) is specifically designed for the safe transport of glass bottles.

7.3. Delivery times. Orders are prepared within an indicative period of 2 to 5 working days from payment confirmation. Delivery time then varies according to destination:

  • mainland France and Monaco: 2 to 4 working days;
  • other countries served: 3 to 5 working days.

These times are indicative. In accordance with Article L216-1 of the French Consumer Code, the Seller undertakes to deliver the product no later than thirty (30) days after the contract is concluded, unless otherwise agreed between the parties.

7.4. Shipping costs. Delivery charges are clearly shown to the Buyer before the order is finally confirmed. They depend on the destination and the order amount. Details are given in the shipping policy, accessible from the Site footer.

7.5. Summer period and weather conditions. During periods of high heat (generally from mid-June to mid-September), the Seller reserves the right to postpone shipments to preserve the quality of the wines, which may be damaged by high temperatures during transport. The Buyer will be informed by email. No claim relating to a defect attributable to transport conditions will be accepted where delivery during this period was expressly requested by the Buyer.

7.6. Transfer of risk. In accordance with Article L216-4 of the French Consumer Code, any risk of loss of or damage to the goods passes to the consumer when the consumer, or a third party designated by the consumer other than the carrier proposed by the professional, takes physical possession of the goods.

7.7. Inspection on receipt and reservations. Given the fragility of the bottles, the Buyer must check the condition of the parcel and its contents in the presence of the delivery driver, at the time of delivery.

If an anomaly is found (damaged, opened or wet parcel, broken bottles, leaks, missing items, etc.), the Buyer must:

  1. Refuse the parcel or enter precise, dated and reasoned reservations on the carrier's delivery note. General remarks such as “subject to unpacking” or “parcel damaged” are not sufficient: the exact nature of the damage must be specified (for example: “2 of 6 bottles broken, wine spilled in the carton, labels wet”).
  2. Confirm these reservations to the carrier by registered letter with acknowledgement of receipt within three (3) days (public holidays excluded) of receipt, in accordance with Article L133-3 of the French Commercial Code.
  3. Inform the Seller within the same period by email at contact@boriedemaurel.fr, attaching a copy of the delivery note with reservations, photographs of the damage and the order number.

If this procedure is not followed, no claim for damage occurring during transport can be considered, as the Buyer loses all recourse against the carrier and, consequently, against the Seller.

7.8. Late delivery. If delivery is more than seven (7) days late, and except in cases of force majeure, the Buyer may, in accordance with Article L216-6 of the French Consumer Code, require the Seller to deliver within a reasonable additional period. If delivery is not made within that period, the Buyer may terminate the contract by registered letter with acknowledgement of receipt or in writing on another durable medium. The Seller will then refund all sums paid within a maximum of fourteen (14) days.

7.9. Absence at delivery. If the Buyer is absent when the delivery driver calls, a notice will be left allowing the Buyer to arrange a new delivery or to collect the parcel from the indicated pick-up point. After the holding period, the parcel will be returned to the Seller and the cost of re-shipping will be borne by the Buyer.

Article 8: Right of withdrawal

8.1. Principle. In accordance with Articles L221-18 et seq. of the French Consumer Code, the consumer Buyer has fourteen (14) days from receipt of the order to exercise the right of withdrawal, without having to give reasons or pay penalties, except for the cost of return, which remains payable by the Buyer.

8.2. How to exercise it. Before returning any bottles, the Buyer contacts the Seller to notify the decision to withdraw by means of an unambiguous statement:

  • by sending the model withdrawal form appended to these Terms (Appendix 1);
  • or by any other message expressing the wish to withdraw, sent by email to contact@boriedemaurel.fr or by post to: BORIE DE MAUREL, 2 rue de la Sallèle, 34210 Félines-Minervois, France.

The Seller acknowledges receipt of the request and tells the Buyer how to return the goods (address, packaging). This prior contact is used to organise the return; it is not a condition for exercising the right of withdrawal, which is acquired as soon as the statement is sent within the fourteen (14) day period.

8.3. Return conditions. The Buyer must return the products, at their own expense, in their original packaging, intact, complete and unsealed, within fourteen (14) days of communicating the decision to withdraw. The bottles must be packed with particular care (specific transport carton, individual wedging) to avoid any damage during return transport. The Buyer bears the risks of return transport.

8.4. Exclusions. In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for:

  • products that have been unsealed (cork removed, capsule damaged, bottle opened) by the Buyer after delivery and that cannot be returned for reasons of hygiene or health protection (Art. L221-28, 5°);
  • products that, after delivery, are by their nature inseparably mixed with other items (Art. L221-28, 6°).

The Buyer acknowledges being informed that, because of the very nature of the products sold (wines in fragile bottles, sensitive to storage conditions), any return must strictly meet the integrity conditions set out in Article 8.3, failing which it will be refused.

8.5. Refund. If the right of withdrawal is validly exercised, the Seller will refund the Buyer all sums paid, including the initial delivery charges (except for any additional costs resulting from the choice of a delivery method more expensive than the standard delivery offered), no later than fourteen (14) days from the date on which the Seller was informed of the decision to withdraw, using the same means of payment as for the order, unless expressly agreed otherwise. The Seller may withhold the refund until the products have been received back or until the Buyer has provided proof of having shipped them, whichever is earlier.

8.6. Diminished value. The Buyer may only be held liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods.

Article 9: Legal guarantees

9.1. Applicable guarantees. The products sold by the Seller benefit automatically and at no extra cost, independently of the right of withdrawal, from the legal guarantees provided by French law, namely:

  • the legal guarantee of conformity under Articles L217-3 to L217-17 of the French Consumer Code;
  • the guarantee against hidden defects under Articles 1641 to 1649 of the French Civil Code.

9.2. Legal guarantee of conformity. The consumer Buyer:

  • has two (2) years from delivery of the goods to take action;
  • may choose between repair or replacement of the goods, subject to the cost conditions laid down in Article L217-12 of the French Consumer Code;
  • does not have to prove the existence of the lack of conformity during the twenty-four (24) months following delivery.

The legal guarantee of conformity applies independently of any commercial guarantee that may be granted. The Buyer may decide to invoke the guarantee against hidden defects in the goods sold within the meaning of Article 1641 of the French Civil Code; in that case, the Buyer may choose between cancelling the sale or a reduction of the sale price, in accordance with Article 1644 of the French Civil Code.

9.3. Guarantee against hidden defects. In accordance with Article 1648 of the French Civil Code, any action for latent defects must be brought by the Buyer within two (2) years of discovering the defect.

9.4. Implementation. To assert their rights under the legal guarantees, the Buyer must inform the Seller, by email to contact@boriedemaurel.fr or by post, of the existence of the defect as soon as possible after discovering it, specifying the nature of the defect and attaching any useful supporting evidence (photographs, order number).

9.5. Distinction from organoleptic characteristics. In accordance with Article 3.4 above, the taste of a wine depends partly on subjective factors and on the natural development of the product. Mere dissatisfaction with the taste or style of a wine does not constitute a lack of conformity or a hidden defect within the meaning of the above articles. Only objective faults (proven cork taint, premature oxidation, microbiological defect) may give rise to a claim under the legal guarantees.

Article 10: Liability

10.1. Scope of liability. The Seller is automatically liable to the consumer Buyer for the proper performance of the obligations arising from the contract, in accordance with Article L221-15 of the French Consumer Code, whether these obligations are to be performed by the Seller itself or by other service providers, without prejudice to its right of recourse against them. However, the Seller may be released from all or part of its liability by proving that the non-performance or improper performance of the contract is attributable either to the Buyer, or to the unforeseeable and insurmountable act of a third party unconnected with the provision of the services under the contract, or to force majeure.

10.2. Limitations. The Seller cannot be held liable for:

  • damage resulting from improper use, storage or handling of the products by the Buyer after delivery;
  • the consequences of excessive alcohol consumption;
  • indirect or unforeseeable damage suffered by the Buyer, such as loss of profit, loss of opportunity, commercial or non-material damage;
  • temporary unavailability of the Site due to maintenance, force majeure or a technical failure beyond its control.

10.3. Force majeure. The Seller cannot be held liable for failure to perform any of its obligations if such failure is due to force majeure as defined in Article 1218 of the French Civil Code, in particular natural disaster, fire, flood, strike, pandemic, health crisis, supply difficulties, war, or any other event beyond its reasonable control.

Article 11: Legal warning: sale of alcohol

11.1. Ban on sales to minors. In accordance with Article L3342-1 of the French Public Health Code, the sale of alcohol to minors under 18 is strictly prohibited. By placing an order on the Site, the Buyer certifies on their honour that they are at least eighteen (18) years old and have full legal capacity to enter into a contract; they attest to this by ticking the box provided in the basket, before accessing payment.

11.2. Verification. The Seller reserves the right, at any time, to require proof of age before shipping the order. Failing this, or in case of doubt, the order may be cancelled.

11.3. Mandatory health warning.

ALCOHOL ABUSE IS DANGEROUS FOR YOUR HEALTH. PLEASE DRINK RESPONSIBLY.

Drinking alcoholic beverages during pregnancy, even in small quantities, can have serious consequences for the child's health.

11.4. Loi Évin. The Seller complies with French Law No. 91-32 of 10 January 1991 (Loi Évin) on combating smoking and alcoholism, and with Articles L3323-2 et seq. of the French Public Health Code governing the advertising of alcoholic beverages.

Article 12: Personal data protection (GDPR)

12.1. Data controller. The Seller, whose identity is given in Article 2, is the controller of the personal data collected on the Site within the meaning of Regulation (EU) 2016/679 of 27 April 2016 (GDPR) and the amended French Data Protection Act No. 78-17 of 6 January 1978.

12.2. Data collected. The personal data collected include: surname, first name, postal address, email address, phone number, declaration of legal age, order history and connection data. Bank details are not stored by the Seller and are handled directly by the payment provider.

12.3. Purposes. The data are collected for the following purposes:

  • managing and fulfilling orders (delivery, invoicing, after-sales service);
  • managing the customer account;
  • verifying that the Buyer is of legal age;
  • complying with legal and accounting obligations;
  • with the Buyer's prior consent, sending marketing communications and newsletters;
  • improving the Site and compiling statistics.

12.4. Legal basis. Depending on the case, processing is based on performance of the contract of sale (Art. 6.1.b GDPR), compliance with legal obligations (Art. 6.1.c GDPR), the Buyer's consent (Art. 6.1.a GDPR), in particular for marketing, and the Seller's legitimate interest (Art. 6.1.f GDPR) in improving the Site and preventing fraud.

12.5. Retention periods. Data are kept no longer than necessary for the purposes of processing:

  • order data: 10 years for orders over €120 (legal obligation);
  • customer account data: 3 years from the last contact;
  • marketing data: 3 years from the last contact or withdrawal of consent;
  • connection data: in accordance with the applicable legal obligations.

12.6. Recipients. Data are only transmitted to authorised persons within Borie de Maurel and to its subcontractors strictly necessary for performance of the contract (carrier, payment provider, host, email service provider). No data is transferred outside the European Union without appropriate safeguards within the meaning of the GDPR.

12.7. Buyer's rights. In accordance with Articles 15 to 22 of the GDPR, the Buyer has at all times the rights of access, rectification, erasure, restriction of processing, portability and objection, the right to withdraw consent at any time, and the right to set instructions regarding what happens to their data after their death.

These rights may be exercised by email to contact@boriedemaurel.fr or by post to the registered office, with proof of identity.

12.8. Complaints. The Buyer also has the right to lodge a complaint with the Commission Nationale de l'Informatique et des Libertés (CNIL), 3 place de Fontenoy, TSA 80715, 75334 Paris Cedex 07, France, www.cnil.fr.

For details of processing, see also our Privacy policy.

Article 13: Cookies

The Site uses cookies to ensure it works properly, to measure its audience and, subject to the Buyer's prior consent, to personalise the browsing experience. On the first visit, the Buyer is invited to accept, refuse or configure cookies via a dedicated banner, in accordance with CNIL recommendations. Full details are given in the Privacy policy, accessible from the Site footer.

Article 14: Intellectual property

14.1. All elements making up the Site (texts, photographs, graphics, logos, trademarks, videos, database, structure of the Site, etc.) are the exclusive property of the Seller or its partners and are protected by the French Intellectual Property Code.

14.2. Any reproduction, representation, modification, publication, transmission or distortion, in whole or in part, of the Site or its content, by any process and on any medium, is prohibited without the Seller's prior written authorisation. Any unauthorised use constitutes infringement punishable under Articles L335-2 et seq. of the French Intellectual Property Code.

Article 15: Disputes: consumer mediation

15.1. Amicable settlement. In the event of a dispute between the Buyer and the Seller, they will endeavour to resolve it amicably. To this end, the Buyer sends a written complaint to the Seller by email to contact@boriedemaurel.fr or by post to: BORIE DE MAUREL, 2 rue de la Sallèle, 34210 Félines-Minervois, France.

15.2. Consumer mediation. Failing an amicable agreement, or if the Seller has not replied within a reasonable period of one (1) month, the consumer Buyer within the meaning of Article L.612-2 of the French Consumer Code may, if a disagreement remains, refer the matter free of charge to the competent mediator on the list of mediators drawn up by the Commission for the Evaluation and Control of Consumer Mediation under Article L.615-1 of the French Consumer Code, namely:

Société Médiation Professionnelle
Alteritae, 5 rue Salvaing, 12000 Rodez, France
www.mediateur-consommation-smp.fr

15.3. Competent court. Failing amicable resolution, any dispute relating to the formation, performance or interpretation of these Terms will be submitted to the competent courts under the ordinary rules of law. Under Article R631-3 of the French Consumer Code, the consumer Buyer may bring proceedings, at their choice, before one of the courts with territorial jurisdiction under the French Code of Civil Procedure or before the court of the place where they lived when the contract was concluded or when the harmful event occurred.

Article 16: Governing law

These Terms and the contract of sale concluded between the Seller and the Buyer are governed by French law. In accordance with Article 6 of Regulation (EC) No 593/2008 (Rome I), this choice of law cannot deprive a consumer residing in another EU Member State of the protection afforded by the mandatory provisions of the law of their habitual residence.

Article 17: Miscellaneous

17.1. Entire agreement. These Terms set out all the obligations of the parties. They cancel and replace any previous agreement with the same purpose.

17.2. Partial invalidity. If any provision of these Terms is declared void or unenforceable, the other provisions shall remain in full force and effect.

17.3. Language. These Terms are drawn up in French. If they are translated into one or more languages, only the French text shall prevail in the event of a dispute.

17.4. Evidence. It is expressly agreed, unless otherwise required by public policy, that the data held in the Seller's information systems are conclusive evidence of orders placed by the Buyer. Data stored by the Seller on computer or electronic media constitute valid and enforceable evidence.
